Terms of Service

These terms govern your use of toolkitstudio.ca (the "Site") and any services provided by Toolkit Studio ("we", "us", "our"). By using the Site or engaging our services, you agree to these terms.

Services

Toolkit Studio provides:

• Custom website design and development (one-time projects)
• Hosting, content updates, and Google Business Profile management (ongoing monthly subscription)
• AI phone answering services (when launched)

The specific scope, pricing, timeline, and deliverables for each engagement are set out in a separate written Service Agreement signed by both parties before work begins.

Submissions through the Site

When you submit information through /start, we use it solely to respond to your inquiry, scope a project, and send a proposal. Submitting the form does not create a contract or commit either party. A binding engagement only begins once a Service Agreement is signed.

Pricing

Prices listed on the Site reflect our standard tiers but are subject to confirmation in your Service Agreement. We may change Site pricing at any time without affecting existing client agreements that have already been signed.

Intellectual property

• The Site itself — including the "Toolkit Studio" name, brand, copy, design, and code — is owned by us.
• Once your project is paid in full, the final website code, content, and assets we deliver to you are yours, fully transferable. You can move hosts, hire someone else, or keep the site indefinitely. Per-project ownership terms are detailed in your Service Agreement.
• We retain the right to display your project as a portfolio piece unless you opt out in writing.

No business-result guarantees

We make our best effort to deliver high-quality work and reliable hosting, but we do not guarantee specific business results — more leads, higher Google rankings, increased revenue, or otherwise. Industry statistics cited on the Site (for example, missed-call percentages for service businesses) come from third-party research and are illustrative.

Liability

To the maximum extent permitted by law, Toolkit Studio's total liability to you for any claim arising out of or relating to these terms or our services is limited to the total fees you paid us in the six (6) months preceding the claim. We are not liable for indirect, consequential, incidental, or special damages.

Cancellation

Monthly subscriptions are month-to-month with no long-term contract. You can cancel at any time with thirty (30) days' written notice (email is fine). On cancellation we hand off the website code, content, and domain. Project deposits are non-refundable once design or development work has begun.

Governing law

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles. Any disputes arising under these terms will be resolved in the courts of Ontario.

Changes to these terms

We may update these terms occasionally. Continued use of the Site after changes are posted constitutes acceptance of the updated terms. Material changes affecting active clients will be communicated by email.
